Ugovor o zakupu nepokretnosti: 4 najbitnije stvari

Najbitniji element ugovora o zakupu jeste predmet zakupa. U najvećem broju slučajeva to je nekretnina. Međutim, osim nekretnine i stavke o predmetu zakupa, ugovor o zakupu sadrži još bitnih elemenata, kao što su:

  1. Vreme trajanja zakupa
  2. Zakupnina.

Ukoliko neki od ovih “delova” nedostaje ili nije odrediv na bilo koji od zakonski propisanih načina, svi elementi Ugovora dovode u pitanje punovažnost samog Ugovora.

Postoje i manje bitni elementi bez kojih ugovor o zakupu nepokretnosti može opstati, a koji se u praksi često ugovaraju posebno; poput odredbi vezanih za depozit, naknadu štete ili odgovornost za plaćanje računa koji se odnose na zakupljenu stvar.

Danas vas upoznajemo sa najbitnijim delovima Ugovora o zakupu.

1. Šta reguliše ugovor o zakupu nepokretnosti?

Ugovor o zakupu je ugovor na osnovu koga se jedna ugovorna strana (zakupodavac) obavezuje da će predati određenu stvar drugoj ugovornoj strani (zakupcu), na upotrebu.

Ugovor o zakupu nepokretnosti obavezuje da za se za zakup plaća određena naknada i da se po isteku određenog vremena, stvar iz zakupa (obično stan) vrati.

Treba znati i da je Ugovor o zakupu je dvostrani pravni posao inter vivos (za života). 

Posebne odredbe ugovora o zakupu stana se nalaze u Zakonu o stanovanju koji je lex specialis, a odredbe o zakupu poljoprivrednog zemljišta se nalaze u Zakonu o poljoprivrednom zemljištu koji je takođe lex specialis i odnosi se na poljoprivredno zemljište.

2. Predmet zakupa

Za predmet zakupa je značajno da to mora biti određena nepotrošna stvar. Stvari koje se troše prvom upotrebom ne mogu biti predmet ugovora o zakupu. 

Ugovorom o zakupu se zakupodavac obvezuje da će predati zakupniku određenu stvar na korišćenje, dok se druga strana obvezuje da za to plaća određenu zakupninu

Davanje stvari u zakup podrazumeva “upotrebu s pravom pribiranja plodova”, dok se kod pozajmice stvar daje na upotrebu. 

Bitne stavke ugovora o zakupu jesu i da stvar koja je predmet zakupa, ima zakupninu i vreme trajanja.

Predmet zakupa u širem smislu može biti i određeno imovinsko pravo (npr. licenca). Zakup može imati kao predmet osim postojećih i buduće stvari. Bitno je da predmet zakupa bude odrediva stvar.

Overa ugovora o zakupu nepokretnosti stana, zemljišta, poslovnog prostora, vozila, obavlja se kod notara.

3. Zakupnina

Zakupnina je naknada koju zakupoprimac daje zakupodavcu za ustupljenu stvar i predstavlja određenu imovinsku korist koja se najčešće sastoji u novcu. 

Međutim, umesto novca. kao zakupnina može biti ugovorena i predaja izvesne količine dobara i pomenutih “plodova” koje zakupljena stvar daje. Na primer, procenat rada neke firme, ukoliko je nekretnina ustupljena za sedište firme, i sl.

4. Vreme trajanja zakupa

Upotreba zakupljene stvari se vrši na određeno vreme. Kada ono istekne, zakupac je dužan da zakupodavcu vrati  upotrebljavanu stvar, odnosno nekretninu, u odbliku u kakvom je predata, ili u skladu sa parametrima definisanim u Ugovoru. 

Stranke, odnosno zakupodavac i zakupoprimac sami određuje vreme trajanja zakupa. Ukoliko vreme trajanja zakupa nije ugovorom određeno, smatra se da je zakup zaključen na neodređeno vreme.

Ugovor o zakupu nepokretnostni zaključen na neodređeno, daje pravo obojici ugovarača da otkažu ugovor o zakupu u otkaznom roku koji njima odgovara. 

Najčešće se vreme trajanja ugovora posmatra i ugovara kalendarski, ili gledajući na neku buduću, izvesnu, okolnost, dešavanje ili potrebu.

Nadamo se da smo vam kroz ove četiri stavke približili najbitnije delove Ugovora o zakupu. Činjenica je da se u našoj zemlji ne pojavljuju često dokumenta ove vrste, kao ni da država nema potpuni uvid u to koliko je nekretnina iznajmljeno bez Ugovora.

1. What is regulated by the real estate lease agreement?

A lease agreement is a contract on the basis of which one contracting party (lessor) undertakes to hand over a certain thing to the other contracting party (lessee) for use.

The real estate lease agreement obliges a certain fee to be paid for the lease and that after a certain time, the thing from the lease (usually an apartment) is returned.

2. Subject of the lease

It is important for the subject of the lease that it should be a certain non-consumable item. Items that can be consumed during the first use cannot be the subject of a lease agreement.

The lease agreement obliges the lessor to hand over a certain thing to the lessee for use, while the other party undertakes to pay a certain rent for that.

Leasing of things means „use with the right to collect that thing’s fruits“, while in the case of a loan, the thing is given for use.

The important items of the lease agreement are that the thing that is the subject of the lease, has a leasehold and lease duration.

The subject of the lease in a broader sense can also be a certain property right (eg a license). The lease can have as a subject both the existing and the future things. It is important that the subject of the lease be a definable thing.

Verification of the contract on the lease of real estates such as an apartment, land, business premises, or vehicles is performed by a notary.

3. Lease

 lease is a fee that the lessee gives to the lessor for the given thing and represents a certain property benefit, which usually refers to money.

However, instead of money, a lease can be agreed to be a delivery of a certain amount of goods and the mentioned „fruits“ that the leased thing gives. For example, the percentage of work of a company, if the real estate is ceded to a company’s headquarters, etc.

4. Lease duration

The use of the leased item is performed for a certain period of time. When it expires, the lessee is obliged to return the used thing, that is, real estate, to the lessor, in the same form in which it was handed over, or in accordance with the parameters defined in the Contract.

The parties, that is, the lessor and the lessee determine the duration of the lease. If the duration of the lease is not determined by the contract, it is considered that the lease is concluded for an indefinite period.

An immovable lease agreement that is indefinite gives the right to both contractors to terminate the lease agreement within the notice period that suits them.

Most often, the duration of the agreement is observed and contracted on a calendar basis or looking at some future, certain circumstance, event, or need.
